1. Introduction and acceptance
These Terms of Service govern your access to and use of the kidHQ platform, operated by KIRUNIVERSE LLC, headquartered in Brooklyn, New York. kidHQ is accessible at kidhq.app and as a progressive web application installable on any device.
By creating an account, accessing the platform, or authorizing your school's use of kidHQ, you agree to be bound by these Terms. If entering into these Terms on behalf of a school, district, or institution, you represent that you have legal authority to bind that institution, and "you" refers to that institution.
If you do not agree to these Terms, do not use kidHQ.
2. Definitions
"Platform" means the kidHQ web application, APIs, and related services at kidhq.app.
"School" means the K–12 educational institution that has entered into a subscription agreement with KIRUNIVERSE LLC.
"Administrator" means an authorized representative of the School with administrative access to the platform.
"User" means any individual accessing the platform, including administrators, staff, teachers, parents, guardians, and students.
"Student Data" means any personally identifiable information related to a student provided to or generated through the platform.
"Subscription" means the paid plan selected by the School as described in the applicable Order Form or pricing page.
"Content" means any text, images, files, forms, announcements, messages, or other material submitted to the platform by users.
"Order Form" means any order form, sales quote, or checkout confirmation establishing the subscription terms.
3. Eligibility and accounts
kidHQ is intended for use by K–12 educational institutions and their authorized users. To create an account, you must be at least 18 years of age, or accessing the platform under supervision and authorization of a school. Schools are responsible for ensuring all authorized users comply with these Terms.
Each account is personal and non-transferable. You are responsible for maintaining the security of your credentials. Notify us immediately at privacy@kiruniverse.com if you suspect unauthorized access. Schools are responsible for all activity under their account.
4. Subscriptions and payment
kidHQ is offered on a subscription basis, billed annually per enrolled student. Subscriptions renew automatically at the end of each annual term unless cancelled in writing with at least 45 days' notice before the renewal date. We will send a renewal reminder no fewer than 60 days before renewal. Pricing is available at kidhq.app/pricing.
All fees are due and payable 45 days from the date of invoice and are non-refundable except as described in Section 13 (Termination) or as required by applicable law.
A 3% convenience fee applies to all credit card payments. Payments by ACH, EFT, wire transfer, or check do not incur a convenience fee.
Interest accrues on all past-due amounts at 1.5% per month or the highest rate permitted by applicable law, whichever is lower. If any portion of an invoice is disputed, the school agrees to pay the undisputed portion within 45 days and provide written notice of the disputed portion.
The school is responsible for all applicable taxes, levies, or duties imposed by taxing authorities, excluding taxes on KIRUNIVERSE LLC's net income.
Annual fees may increase at renewal, capped at 5% per annum unless KIRUNIVERSE LLC provides written notice of a greater increase at least 60 days before the end of the then-current annual term.
Payments are processed by Stripe, Inc. We do not store payment card data. Access may be suspended if payment is not received within 45 days of invoice.
5. Permitted use
You may use kidHQ solely for lawful purposes in connection with your school's legitimate educational and administrative functions. You agree not to use the platform for purposes that violate applicable law, upload or transmit unlawful or harmful content, attempt unauthorized access, use automated scripts without consent, reverse engineer source code, share login credentials with unauthorized individuals, or use student data for non-educational purposes.
We reserve the right to suspend or terminate access for violations of these Terms.
6. Content and data ownership
You retain ownership of all content and data you submit to kidHQ. By submitting content, you grant KIRUNIVERSE LLC a limited, non-exclusive, royalty-free license to store, process, and display that content solely to operate the platform.
Student Data remains the property of the school and the families it serves. KIRUNIVERSE LLC does not claim ownership of Student Data. We will not use your content for marketing or advertising without your explicit written consent.
7. Data processing and student privacy
KIRUNIVERSE LLC processes Student Data as a service provider on behalf of the school. Our data practices are governed by our Privacy Policy, our Data Processing Agreement, and applicable law including FERPA, COPPA, and New York Education Law 2-d.
Schools represent and warrant that their submission of Student Data complies with all applicable laws including FERPA and COPPA.
8. Platform availability and modifications
We aim to maintain platform availability of 99.5% or greater, excluding scheduled maintenance. We will make reasonable efforts to conduct maintenance outside normal school hours.
We reserve the right to modify or update features at any time, with reasonable advance notice of changes that materially reduce core functionality. If a material reduction occurs during a paid term, you may request a prorated refund.
Schools that do not accept material changes to these Terms may terminate their subscription within 30 days of notice for a prorated refund of the unused term.
9. High-risk use disclaimer
kidHQ is not intended as a substitute for an emergency management system and is not designed for use in high-risk activities or situations where damage or injury could result from an error, disruption, or outage. In the event of any actual or potential threat to person or property, contact emergency response services including 911, fire, police, emergency medical, and public health authorities. kidHQ is not intended to replace or interoperate directly with such first responder services.
10. Intellectual property
The kidHQ platform, including its design, code, features, trademarks, and brand assets, is the property of KIRUNIVERSE LLC and is protected by applicable intellectual property law. The kidHQ name, logomark, and wordmark are trademarks of KIRUNIVERSE LLC and may not be used without our prior written consent.
11. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party and to use such information only for purposes contemplated by these Terms. KIRUNIVERSE LLC treats all Student Data and school-specific data as confidential.
12. Disclaimers and limitation of liability
The kidHQ platform is provided "as is" and "as available." KIRUNIVERSE LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
KIRUNIVERSE LLC's total liability for any claim shall not exceed the total fees paid in the twelve months preceding the claim. In no event shall KIRUNIVERSE LLC be liable for indirect, incidental, special, consequential, or punitive damages.
In no event shall anything in these Terms be construed as requiring the school to indemnify KIRUNIVERSE LLC.
13. Termination
Either party may terminate the subscription at the end of the current annual term: the school by providing at least 45 days' written notice before renewal; KIRUNIVERSE LLC by providing at least 60 days' written notice before renewal.
A school may terminate immediately if KIRUNIVERSE LLC materially breaches these Terms and fails to remedy the breach within 30 days of written notice, entitling the school to a prorated refund for the unused prepaid term.
A school may terminate at any time if it does not receive necessary appropriation or allotment of funds from a governing entity, by providing 30 days' written notice. No early termination fee applies.
We may suspend or terminate access immediately for material breach, non-payment, violation of applicable law, or conduct posing risk to the platform or other users.
Upon termination, access ceases immediately. We will retain your data for 60 days for export requests, then securely delete it unless retention is required by law.
14. Force majeure
Neither party has any liability for failure of performance due to causes beyond its reasonable control, including acts of God, fire, flood, earthquake, storm, governmental action, national emergencies, wars, acts of terrorism, labor difficulties, or failure of the internet, third-party software, or hosting providers.
15. Publicity
KIRUNIVERSE LLC may include the school's name in customer lists or promotional materials and may verbally reference the school as a customer. Schools wishing to be excluded may notify us in writing at privacy@kiruniverse.com.
16. General provisions
These Terms, together with the Privacy Policy and any applicable Data Processing Agreement and Order Form, constitute the entire agreement between you and KIRUNIVERSE LLC. If any provision is found unenforceable, the remaining provisions remain in full force. The parties are independent contractors. You may not assign your rights without our prior written consent. Notices to KIRUNIVERSE LLC should be sent to privacy@kiruniverse.com.
17. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in Kings County, New York.
Before initiating any formal legal proceeding, both parties agree to attempt informal resolution by contacting privacy@kiruniverse.com within 30 days of written notice.
